WuxiLittleSwanCompanyLimited(hereinafterreferredtoasthe“Company”)anditsBoardofDirectorsherebyguaranteethattheinformationpresentedinthisAnnouncementisfactual,accurateandcomplete,withoutanymisrepresentations,misleadingstatementsormaterialomissions.TheEnglishversionofthisAnnouncementisforreferenceonly.
Importantnotes:
1.ThisAnnouncementonlyinvolvesthoseB-shareholdersoftheCompanywithtransferregistrationrestrictedaccounts,whichreferto:(1)thedomesticinvestorswhodonotdeclareanA-shareaccountbefore30May2019;(2)theforeigninvestorswhodonotdeclareanA-shareaccount(ifany)before30May2019;and(3)theforeigninvestorsfornon-domestictransactionwhodonotdeclareanA-shareaccount(ifany)before30May2019(together,the“RelevantShareholders”).
2.ThisAnnouncementdoesnotinvolveA-shareholdersoftheCompany,orthoseB-shareholderswhodeclareanA-shareaccountbefore30May2019.
Theschemeonthestock-for-stockmergerofWuxiLittleSwanCompanyLimited(hereinafterreferredtoasthe“Company”)byMideaGroupCo.,Ltd.(hereinafterreferredtoas“MideaGroup”)throughtheofferingofA-shareshasbeenreviewedandapprovedbytheSecondExtraordinaryGeneralMeetingof2018oftheCompanyon21December2018.On12March2019,ChinaSecuritiesRegulatoryCommissionissuedtheReplyZ.J.X.K[2019]No.352toapprovethescheme.
TheCompanywillapplytotheShenzhenStockExchangeforterminationoflisting.Onceapprovedbytherelevantregulators,theCompanywillstarttheconversionofitsLittleswan-B(200418)andLittleSwan(000418)sharestoMideaGroupshares(A-shares).InordertoensurethattheB-shareinvestorsholdingtheirsharestothelasttradingdayandhavingtheirsharesconvertedknowabouttheproceduresregardingtheconversionoftheLittleswan-B(200418)sharestotheMideaGroupshares(A-shares)(hereinafterreferredtoasthe“B-to-AConversion”),theB-shareinvestorsoftheCompanyareherebyremindedtopayattentiontothefollowingmatters:
ForthoseB-shareholdersoftheCompanywhodonotdeclareanA-shareaccountbefore30May2019,atransferregistrationrestrictedaccountwillbeallocatedtoeachofthembyChinaSecuritiesDepositoryandClearingCorporationLimited(CSDC)
upontheapplicationofMideaGroup.AndtheconvertedMideaGroupA-sharesoftheRelevantShareholderswillberegisteredinsuchaccounts.Aftertheallocationofsuchaccounts,theRelevantShareholdersshallhandlethefollowingproceduresbeforetradingthesharesintheseaccounts:
(1)Fordomesticinvestors,theyshallconfirmthatthebusinessdepartmentofthesecuritiesfirmrelatingtotheLittleswan-BshareshasenabledthecapitalaccountrelatingtotheLittleswan-BsharestobesettledinRMB,andtheyshallgotothesaidbusinessdepartmenttohandlethethird-partydepositoryformalitieswithregardtothecapitalaccountinrelationtothetransferregistrationrestrictedaccount.
(2)Forforeigninvestorsfordomestictransaction,theyshallconfirmthatthebusinessdepartmentofthesecuritiesfirmrelatingtotheLittleswan-BshareshasenabledthecapitalaccountrelatingtotheLittleswan-BsharestobesettledinRMB.
(3)Forforeigninvestorsfornon-domestictransaction(withdesignatedsecuritiesfirms),theyshallgotothedesignatedsecuritiesfirmstoopenacapitalaccountinrelationtothetransferregistrationrestrictedaccount.
(4)Forforeigninvestorsfornon-domestictransaction(withnodesignatedsecuritiesfirms),theyshallgototheShennanAvenueBusienssDepartmentofCITICSecuritiesCo.,Ltd.toopenacapitalaccountinrelationtothetransferregistrationrestrictedaccount.
